✅ 1. Acceptance of Terms

By accessing or using the M&A Deal Room platform ("Service") operated by Buy Build Sell Pty Ltd ("Company", "we", "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users including free trial users, paid subscribers, and visitors to public pages. Use of the Service constitutes acceptance of the most current version of these Terms.

📊 2. Description of Service

The M&A Deal Room is a cloud-based software platform that provides tools for evaluating, modelling and managing small-to-medium enterprise (SME) acquisition opportunities. Features include:

• Prospect and deal pipeline management
• AI-powered financial statement extraction
• LBO (Leveraged Buyout) calculator and scenario modelling
• Financial ratio analysis and benchmarking
• Seller questionnaire and interview tools
• Forensic financial analysis including Benford's Law
• Document storage and management
• 100-day plan generation

The Service is provided on an "as is" basis. We reserve the right to modify, suspend or discontinue features at any time with reasonable notice to subscribers.

👤 3. Accounts & Registration

To access the platform you must register for an account and confirm your email address. You agree to:

• Provide accurate, current and complete registration information
• Maintain the security of your password and not share your account
• Notify us immediately of any unauthorised access at admin@buybuildsell.com.au
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years of age to register. One person may not maintain more than one free trial account. We reserve the right to suspend accounts that violate these Terms.

💳 4. Subscription Plans & Billing

Plans

We offer three plans: Free Trial (no charge), Pro, and Business Buyers. Plan features and limits are described on the Pricing page and may be updated from time to time.

Billing

• Paid plans are billed monthly or annually as selected at sign-up
• Payments are processed by Stripe and subject to their terms
• Subscriptions renew automatically unless cancelled before the renewal date
• Annual plans are billed upfront for the full year

Cancellation & Refunds

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• We offer a 14-day money-back guarantee on first-time paid subscriptions
• Refunds after 14 days are at our discretion and not generally available for partial months

Plan Changes

Upgrades take effect immediately with prorated billing. Downgrades take effect at the next billing cycle. Exceeding plan limits results in features becoming read-only, not additional charges.

🚫 5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation in any jurisdiction
• Upload content you do not own or have rights to use
• Share your account credentials or allow multiple users on a single account
• Attempt to reverse engineer, scrape or copy the platform
• Circumvent plan limits through technical means
• Upload malicious files, viruses or harmful code
• Use the platform to facilitate fraud, money laundering or illegal transactions
• Harass, defame or harm other users or third parties
• Interfere with the platform's infrastructure or other users' access

Violation of these provisions may result in immediate account suspension without refund.

📄 6. Your Data & Content

You retain full ownership of all data, documents and content you upload to the platform ("Your Content"). By uploading content you grant us a limited licence to store, process and display it solely for the purpose of providing the Service to you.

• We do not claim ownership of Your Content
• We do not use Your Content to train AI models
• We do not share Your Content with other users or third parties
• We are not responsible for loss of data due to user error
• You are responsible for ensuring you have the right to upload any third-party documents (e.g. seller financials shared under NDA)

You are responsible for maintaining your own backups of important data. Our data retention and deletion policies are described in our Privacy Policy.

⚠️ 7. Disclaimers & No Advice

Specifically:

• Valuations produced by the LBO calculator are estimates based on inputs you provide. They do not represent the fair market value of any business.
• Financial ratios, benchmarks and analysis are for informational purposes only and may not reflect current market conditions.
• Benford's Law and forensic analysis tools are screening tools only and do not constitute proof of fraud or manipulation.
• AI financial extraction may produce errors, omissions or misinterpretations. Always verify extracted figures against source documents.
• Case studies and examples are for educational purposes and do not guarantee similar results.

Before making any acquisition decision you should engage qualified professionals including a business accountant, commercial lawyer, financial adviser and business broker or M&A adviser.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

🛡️ 8. Limitation of Liability

To the maximum extent permitted by law:

• Buy Build Sell Pty Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Service
• Our total liability for any claim arising from these Terms or use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for losses resulting from acquisition decisions made using the platform, regardless of whether such decisions were informed by platform outputs
• We are not liable for data loss, service interruptions, or third-party actions

Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions our liability is limited to the fullest extent permitted by applicable law.

Indemnification

You agree to indemnify and hold harmless Buy Build Sell Pty Ltd from any claims, damages, losses or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

💡 9. Intellectual Property

The platform, including its design, code, algorithms, content, branding and features, is owned by Buy Build Sell Pty Ltd and protected by copyright, trade mark and other intellectual property laws.

You may not copy, reproduce, modify, distribute or create derivative works from any part of the platform without our express written permission. This includes but is not limited to:

• Copying the LBO calculator methodology or formula structure
• Reproducing platform interface designs
• Using our trade marks or branding without permission

Your Content remains your property. We acquire no intellectual property rights in Your Content beyond what is necessary to provide the Service.

🚫 10. Termination

Either party may terminate your account at any time:

• By you: Cancel your subscription and request account deletion by emailing admin@buybuildsell.com.au
• By us: We may suspend or terminate accounts that violate these Terms, are involved in fraudulent activity, or for non-payment, with or without prior notice depending on severity

Upon termination, your access to the platform ceases. Your data will be retained for 30 days after which it will be deleted in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (disclaimers, limitation of liability, intellectual property) will do so.

🌏 11. Governing Law & Disputes

These Terms are governed by the laws of the State of Victoria, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Victoria for resolution of any disputes.

Dispute Resolution

Before commencing any legal proceedings, you agree to attempt to resolve disputes informally by contacting us at admin@buybuildsell.com.au. We will respond within 14 days and endeavour to resolve the matter in good faith.

US Users

If you are a US resident, you agree that any dispute will be resolved through binding individual arbitration rather than in court, except for matters that may be taken to small claims court. You waive any right to participate in a class action lawsuit or class-wide arbitration.

UK & EU Users

Nothing in these Terms removes your rights under applicable consumer protection legislation in the UK or EU. Where mandatory local laws provide greater protections, those protections apply.

📝 12. Changes to Terms

We may update these Terms at any time. Material changes will be notified to registered users by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
